Board of Directors

The Board of Directors of Bharat Gears Limited comprises of Chairman and Managing Director and one Joint Managing Director. The Board also comprises of six Non-Executive Directors.

Mr. Surinder Paul Kanwar

Chairman and Managing Director

Mr. Surinder Paul Kanwar is the Chairman and Managing Director of Bharat Gears Limited. A commerce graduate from Delhi University, Mr. Kanwar is immensely experienced and has in-depth knowledge of the core business of the Company i.e. Automotive Gears. He has wholesome exposure on all aspects of business of the Company and is engaged in supervision and conduct of business of the Company, along with a team of senior management personnel, who assist him in carrying out his activities, subject to the overall supervision and control of the Board. He has been associated with Late Dr. Raunaq Singh Group since 1975. He has also worked at various managerial positions in various Raunaq Group Companies viz. BST Manufacturing Limited (Bharat Steel Tubes Limited), Raunaq EPC International Limited, Raunaq and Company Pvt. Ltd., to name a few. Mr. Kanwar is on the Board of Bharat Gears Limited since 29 September, 1982. He is the Chairman and Managing Director of the Company since 29 October, 2002. He is also on the Board of Raunaq International Limited, Ultra Consultants Private Limited, Vibrant Reality Infra Private Limited and Clip-Lok Simpak (India) Private Limited.

Mr. Sameer Kanwar

Joint Managing Director

Mr. Sameer Kanwar is the Joint Managing Director of Bharat Gears Limited. He has done his Bachelor's Degree in Business Economics from York University, Canada. He has an overall experience and exposure in Marketing, Purchase and Management throughout his association with the Company. He is currently looking after the Non-Fossils business of the Company and responsible for its growth and expansion. He is also on the Board of EJOT-Octaqon Fastening Systems Pvt Ltd, Nexus Drvline India Private Limited, Nexus EPC Private Limited and Xlerate Driveline India Limited.

Mr. Wolfgang Rudolf Schilha

Independent Director

Mr. Wolfgang Rudolf Schilha is a Non-Executive Independent Director on the Board of the Company since 26 February, 1986. Mr. Schilha, in Tettnang, Germany is graduate of Business Administration. He retired from ZF Germany as the "Executive Vice President, International Strategic Projects of the Commercial Vehicle division of ZF, after having managed Truck and Bus Transmission Sales, ZF Corporate Worldwide Service Network and up to June 2013 the strategic business unit Bus Driveline Technology at ZF." He was also the Chairman of ZF Drivetech (Suzhou) Ltd. in Suzhou, PR China, ZF Beiben Drivetech Company Ltd. Chongqing PRC and Chairman of the Supervisory board at ZF Hungaria Kft. in Eger, Hungary. He is immensely experienced and has international exposure on various facets of Auto Industry as a whole including Gear Technology. He is having expertise in the area of sales, marketing and service.

Mr. Nagar Venkatraman Srinivasan

Non-Executive Independent Director

Mr. Nagar Venkatraman Srinivasan is a Non-Executive Director of the Company w.e.f. 03 November, 2017 and appointed as Non-Executive Independent Director of the Company w.e.f. 30 July, 2025. He is a graduate in Mechanical Engineering. He has done MS in lndustrial Engineering from University of lllinois and he is an MBA from Graduate School of Business of the University of Pittsburgh in USA.

Mr. Raman Nanda

Independent Director

Mr. Raman Nanda has been associated with the Company as a Non-Executive Independent Director w.e.f. 29 December, 2021. He is a Bachelor in Commerce from Shri Ram College of Commerce, Delhi University-Gold Medalist and Master of Business Administration from Indian Institute of Management, Ahmedabad with a specialization in Finance. He has served in various renowned Companies like Gestamp, Tata Autocomp Systems, Murugappa Group, Usha Martin Black, Tega Industries etc. He is also on the Board of CIT Ventures Private Limited, PMEA Solar Tech Solutions Limited, Unitherm Engineers Limited and Step Transformations Private Limited. He is founder and CEO, Step Transformations since 2020 having an objective of serving the business community by helping people and businesses grow. He is also a Visiting Faculty at Flame University, Pune.

Ms. Kavita Jha

Independent Director

Ms. Kavita Jha is a Non-Executive Independent Director on the Board of the Company w.e.f. 24 September, 2024. She is a Senior Advocate, designated by the Hon’ble Supreme Court in August, 2024. Prior thereto, she was Senior Partner at Vaish Associates, Advocates, a leading Law Firm. She has also been an Advocate‐on‐Record in the Supreme Court of India since February, 2007 and specializes in tax litigation: Income Tax, GST as well as Criminal Law and Arbitration. She is a Bachelor of Law (LL.B) from University of Calcutta and an Advocate-on-record, Supreme Court of India. She is having rich experience of 25 years. She is a Practicing Advocate for more than 20 years, having appeared and argued various matters relating to Income Tax, VAT/GST, Criminal, Corporate & Commercial Laws, Service matters, Arbitration and Consumer Protection before the Delhi High Court, Patna High Court, Punjab & Haryana High Court, Calcutta High Court and various other High Courts, NCLT, NCDRC and Supreme Court of India. She has represented various national, multi-national companies and PSUs before High Court of Delhi, other High Courts and Supreme Court of India.

Mr. Satya Prakash Mangal

Independent Director

CA Satya Prakash Mangal CA (DIN: 01052952) aged 59 years is a practicing Chartered Accountant and founding partner of M/s Satya Prakash Mangal & Company, Chartered Accountants, New Delhi. His forte is determining the optimal route for financial engineering and financial restructuring and revival of project. He is working on project “AAS-आस (HOPE)” (Advance Alert System) for Banking Industry which provide preventive measures for arresting NPA. Additionally, he has wide knowledge of Assurance and Compliances, SEBI Compliance, Risk management. He has completed course of Corporate Governance from Indian Instituted of Corporate Affairs. He has completed course of Management audit, which includes Management Audit of Finance, Human Resources, Marketing, Information systems & Technology and Risk Management system. He has credentials to guide on best practice of corporate governance and CSR (Corporate Social Responsibility). He is a guiding force on Blue Economy, Geopolitical Risk Analysis, ERM (Enterprises Risk Management). He is Advisor on Artificial Intelligence initiative to serve to last man of Bharat by creating Health Scan Solution, Soil Testing Solution and Establishment of Data Center. He has served as Director of Punjab & Sind Bank (A Government of India Undertaking) and UCO Bank (A Government of India Undertaking). He also served as Independent Director on the Board of NHPC Limited and a Board member of NHDC LTD (Bhopal). He is Director of IPRCL Indian Port Rail & Ropeway Corporation Limited, under Sagarmala Project (AJV Company under ministry of Ports, Shipping and Waterways, Government of India). Also he is Chairman of CSR Committee, Chairman of Audit Committee, member of NRC Committee and member Business Development Committee of IPRCL.

CA Satya Prakash Mangal is a Project Coordinator for Vriksha Vandana (A Project which is bringing Green Revolution and Protection of Environment in Goverdhan Dist. Mathura (U.P) by planting and caring trees. He has been nominated as Chairman of National Committee of Krishna Circuit (Swadesh Darshan) by Ministry of Tourism, Government of India. He is playing a vital role in bringing Integrated Ecological Development of Goverdhan (Mathura). Shri Mangal is president of SEWAYAN which is bringing Cultural Revolution amongst Tea Tribes of Assam & North Bengal through Samohik Vivah. He is also the Founder Trustee of “AROGYA FOUNDATION OF INDIA” (Carrying Rural Health Mission Program in more than 45,000 tribal and backward Villages of Bharat), Trustee of “Maharaja Agrasen Naturopathy & Yoga Sadhana Research Trust” (Balaji Naturecure Wellness Center, Delhi). As Organisation Secretary of SHRI BHAGWAT JEEVNA KATHA, he played a vital role in conducting “National Workshop on Behavioral Game Theory and Human Values” in more than 80 central prisons of Bharat.

Mr. Bharat Dev Singh Kanwar

Mr. Bharat Dev Singh Kanwar is a Bachelor in Chemical Engineering from the Panjab University in Chandigarh, India and a Master in Business Administration from the Open University Business School in the UK. He has vast experience in managing manufacturing Companies & Technology centre. Well-connected in the India automotive industry. He has started his professional career in 1978 with Organo Rubbers in Northern India till 1981. He held different roles from the Year 1981-2010 for Anand Automotive, which includes; tenure at Purolator India as General Manager (largest manufacturer and exporter of filters in India), General Manager Project at Arvin Exhaust UK, VP at Arvin Exhaust India, President & COO at Spicer India. He held the Managing Director and Country Head position for Dana India, a fully owned Company of Dana corporation USA from the Year 2010-2013. His professional tenure spanning around 43 years was successful in strategizing, turning around 6 big companies to profitability through various operational excellence techniques and initiatives viz. Lean concepts, excellence in planning, organising & execution through employee involvement. Various initiatives accomplished leading to companies turning good to great include Operational excellence through TPS, TQM in office & shop floor, business Sop preparation/implementation as per changing Indian GAAP & business requirements, achieve excellence in Corporate Governance through compliance monitoring system, internal controls & audits, effective HR management techniques, training and implementation of lean concepts.

Mr. Jagdeep Singh

Business Head - After Market

Since 1991, Mr. Jagdeep Singh has been associated with Bharat Gears, he has been instrumental in developing and streamlining Domestic (Indian) and Global aftermarket for the BGL Brand of Gears and Transmission Components. A marketing guru in his own right, he excels at managing and strategizing for maximizing visibility and acceptability for Bharat Gears Products worldwide.

Possessing valuable prior International marketing experience in well known Indian corporate, Mr. Jagdeep Singh is responsible for the Aftermarket business in Bharat Gears Limited. A hands-on sales leader, he has a honors degree in Arts.

Mr. Naresh Verma

Corporate Business Head - HR & Operations

Mr. Naresh Verma, Corporate Head-HR & Operations has been associated with the Company since 4th February, 2004. He has been instrumental in establishing and sustaining the harmonious Industrial relations.

He took an enormous responsibility on his shoulders for providing training & Development, Human Resource Management, Human Resource Development, Business Management, Business Development and Industrial Management in the Company amongst the employee and workers that has been fruitful in creating the harmonious work environment, better interpersonal relationships and efficiency in operations at all levels.

He is a master in commerce and holds a Post Graduate Diploma in Personnel Management & Industrial Relations.

During his work tenure, he has served the various renowned companies like VXL India Limited, Bhartia Cutler Hammer, Daikin Shriram Air Conditioning etc

Mr. Milind Pujari

Chief Financial Officer

A Young Dynamic professional, Mr. Milind Pujari has been with Bharat Gears Limited since June, 1995. He safeguards the company's assets (literally), manages the financial pulse and provides reliable and timely finance control to BGL. He is responsible for enforcing a reliable system of internal controls in the areas of general accounting, contracts, payroll, fixed assets, and financial reporting.

He ensures that Bharat Gears Ltd operates in accordance with state and federal General Administration policies and procedures.

He is a Commerce Graduate and a Fellow Chartered Accountant.

Mr. Prashant Khattry

Corporate Head (Legal) and Company Secretary

Mr. Prashant Khattry, Corporate Head (Legal) & Company Secretary has been associated with the Company since June, 2010 and since then he is heading the Legal and Secretarial Department of the Company and other promoter group Companies. During his current tenure with Bharat Gears Limited, he has been instrumental in establishing and sustaining the compliance governance framework and due compliance with the laws and regulations applicable on the Company and other group Companies.

He manages the governance pulse and provides reliable and timely legal support to BGL. He is responsible for enforcing a reliable system of internal controls for ensuring compliance of all the operational departments.

He is a graduate in commerce and law respectively from University of Delhi and a fellow Company Secretary.

He is having a rich experience of over 24 years in the field of specialization and during his work tenure, he has served the various renowned companies like Fortis Healthcare Limited, Lakhani India Limited and Escorts Finance Limited etc.

Mr. Kiran Rai

Head-OE-Marketing & Business Development

Mr. Kiran Rai is the Head-OE-Marketing & Business Development at Bharat Gears Limited. He is having rich experience of 18 years in sales & Marketing.

He has done his Bachelor’s Degree in Mechanical Engineering and Post-graduation in Management Studies.
